Frequently Asked Questions

Is government approval required for converting a Private Limited Company to a Public Limited Company?

No special government approval is required, but the company must obtain approval from its Board of Directors and shareholders through a Special Resolution in a General Meeting. The conversion is then processed by filing necessary documents with the Registrar of Companies (ROC). Once the ROC verifies the application and documents, it issues a Fresh Certificate of Incorporation, officially recognizing the conversion.

Does the company need to increase its authorized capital before conversion?

While there is no mandatory requirement to increase authorized capital, a Public Limited Company usually requires a higher authorized share capital compared to a Private Limited Company. The company should check its existing capital structure and increase the authorized capital if needed before conversion, ensuring compliance with SEBI & stock exchange requirements (if applicable).

What happens to the existing contracts and agreements after conversion?

All existing contracts, agreements, licenses, and legal obligations remain valid after conversion. However, the company needs to update its name from "Private Limited" to "Limited" in all legal documents, agreements, tax records, and banking details. Any changes in shareholding, directorship, or compliance requirements must also be reflected as per regulatory norms.
